Definitions

“Servia” refers to Servia Inc., a Delaware corporation, and its affiliates, subsidiaries, and related entities.

“Services” means all software, platforms, APIs, applications, tools, and related services provided by Servia, including any updates, modifications, or enhancements.

“Customer” refers to the individual or entity that has entered into an agreement with Servia to use the Services.

“Agreement” means these Terms & Conditions together with any applicable Order Forms, Service Level Agreements, Data Processing Agreements, and other supplementary terms.

Eligibility

To use Servia’s Services, you must be at least 18 years of age and have the legal capacity to enter into binding agreements. If you are entering into this Agreement on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

You may not use the Services if you are a competitor of Servia or if you have previously been suspended or banned from using our Services. You agree not to use the Services for any illegal or unauthorized purpose.

Enterprise Customers:

Additional verification and compliance checks may be required for enterprise accounts, including KYC (Know Your Customer) procedures.

Services & Access

Servia grants you a non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and your subscription plan. All access credentials are confidential and should not be shared with unauthorized parties.

Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service. Scheduled maintenance will be communicated in advance.

Account Security

You are responsible for maintaining the security of your account credentials and all activities under your account.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice to customers when feasible.

Security & Privacy

Servia takes security seriously and implements industry-standard security measures to protect your data. We are SOC 2 Type II certified and comply with GDPR, CCPA, and other applicable data protection regulations.

Payments & Billing

Servia takes security seriously and implements industry-standard security measures to protect your data. We are SOC 2 Type II certified and comply with GDPR, CCPA, and other applicable data protection regulations.

Billing Terms

All fees are exclusive of taxes, which you are responsible for paying. Pricing is subject to change with 30 days’ notice for existing customers.

Liability & Warranties

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

In no event shall Servia’s total liability exceed the amount paid by you in the 12 months preceding the claim. We are not liable for:

You agree to indemnify and hold Servia harmless from any claims arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

Compliance

You agree to use the Services in compliance with all applicable laws, regulations, and industry standards. This includes but is not limited to data protection laws, export control regulations, and anti-money laundering requirements.

Servia reserves the right to suspend or terminate accounts that violate compliance requirements or engage in prohibited activities, including fraud, abuse, or any use that could harm our platform or users.

Termination

Either party may terminate this Agreement with written notice. You may cancel your subscription at any time through your account settings. Upon cancellation, you will have access to the Services until the end of your current billing period.

Post-Termination

Upon termination, your access to the Services will cease, and we may delete your data in accordance with our data retention policies. You can request a data export within 30 days of termination.

Servia reserves the right to immediately terminate accounts for material breaches, including non-payment, security violations, or illegal activities.

Sections relating to payment obligations, intellectual property, confidentiality, liability limitations, and dispute resolution shall survive termination.

Disputes & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution Process

You agree to waive any right to a jury trial or to participate in a class action lawsuit. Any disputes shall be resolved on an individual basis through arbitration.

The exclusive venue for any arbitration or legal proceedings shall be Wilmington, Delaware, and you consent to the jurisdiction of the courts located therein.
